Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and BinaryScript Private Limited ("Company," "we," "us," or "our") concerning your access to and use of the Offline Khata mobile application ("App").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

Offline Khata is a mobile application for businesses to keep a ledger ("khata") of credit given and payments received, offline. The App provides:

Customer and supplier ledgers with running balances
Bill photos attached to entries
Due dates and local due-date reminders
Payment reminders sent through WhatsApp, SMS or other apps
PDF statements
Backup and restore through a file
PIN and fingerprint app lock
Offline-first functionality

The App stores your ledger locally on your device and operates without an internet connection for its core functionality.

2. Eligibility

You must be at least 18 years old to use this App. By using the App, you represent and warrant that you:

Are at least 18 years of age
Have the legal capacity to enter into these Terms
Will use the App in compliance with these Terms and all applicable laws

The App is intended for business use by shop owners, traders and other business operators.

3. License to Use

3.1 Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on devices you own or control
Use the App for your personal or business purposes

3.2 License Restrictions

You agree NOT to:

Modify, reverse engineer, decompile, or disassemble the App
Remove or alter any copyright, trademark, or proprietary notices
Use the App for any illegal or unauthorized purpose
Copy, distribute, or create derivative works of the App
Attempt to gain unauthorized access to the App or its systems
Use the App to transmit viruses, malware, or harmful code
Rent, lease, sell, or sublicense the App to third parties
Use the App in any way that violates applicable laws or regulations

4. Free Plan and Subscriptions

4.1 Free Plan

The App offers a free plan that includes every feature for a limited number of customers and suppliers. The current limit is shown in the App and may change.

4.2 Premium

A premium subscription or lifetime purchase removes the customer and supplier limit. The plans, prices and any free trial on offer are shown in the App before you buy and may vary by country.

4.3 Subscription Terms

Subscriptions renew automatically at the end of each period unless cancelled before renewal
You can cancel at any time; premium stays active until the end of the paid period
A free trial, where offered, converts to a paid subscription unless cancelled before it ends
No refund is given for the unused part of a current period, except as described in section 6 or required by law

5. Payments and Billing

5.1 Google Play and the App Store

Purchases made through Google Play or the Apple App Store are charged to your store account and are governed by that store's terms. Manage or cancel them in your store account settings.

5.2 UPI AutoPay (India)

In India, the App may offer subscriptions through UPI AutoPay, processed by PhonePe. You approve a recurring mandate in your UPI app, and the subscription amount is debited each period until you cancel the mandate. Where a free trial is offered, a small verification amount may be debited when the mandate is set up and refunded. You can cancel the mandate at any time in your UPI app. These subscriptions require signing in with an account.

5.3 Pricing

You will be charged the price displayed at the time of purchase
Prices may change; a change does not affect an active subscription until its next renewal, and you will be told before it applies

5.4 Taxes

You are responsible for any applicable taxes, duties, or government charges related to your purchase.

6. Refund Policy

6.1 Store Refunds

Purchases made through Google Play or the App Store are subject to that store's refund policy, and refunds are requested through the store.

6.2 UPI AutoPay and Other Requests

For UPI AutoPay subscriptions, and for issues not resolved by the store:

Provide your purchase details and reason for refund request
We will review requests on a case-by-case basis
Refunds, if approved, may take 7-14 business days to process

We do not provide refunds for:

Change of mind after 48 hours
Failure to use the App after purchase
Device incompatibility (if device met stated requirements)
User error or misunderstanding of features

7. User Responsibilities

7.1 Data Management

You are solely responsible for:

All data you enter into the App
Creating backups of your business data
Accuracy and legality of your business data
Securing your device and App data
Compliance with data protection laws in your jurisdiction

7.2 Device Security

You must:

Keep your device secure with passwords/biometrics
Not allow unauthorized access to your device
Use the App only on devices you own or control
Notify us immediately of any security breach

7.3 Compliance

You agree to:

Use the App in compliance with all applicable laws and regulations
Not use the App for illegal activities
Comply with tax and business regulations in your jurisdiction
Not misrepresent your business or the amounts you record

8. Data and Privacy

8.1 Your Data Ownership

You retain all rights and ownership of your ledger and business data stored in the App. We do not claim any ownership rights to your data.

8.2 Local Storage

Your ledger is stored locally on your device. We do not have access to it, and we do not store or back it up on our servers. If you sign in, we store your account and subscription details as described in the Privacy Policy.

8.3 Privacy Policy

Our collection and use of information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices.

8.4 Data Loss

We are not responsible for data loss due to:

Device failure or damage
App uninstallation
Device reset or factory restore
User error or accidental deletion
Software conflicts or device issues

You are strongly encouraged to regularly backup your data.

9. Intellectual Property

9.1 Our Ownership

The App and all its content, features, and functionality (including but not limited to software, code, design, graphics, logos, and trademarks) are owned by BinaryScript Private Limited and are protected by Indian and international copyright, trademark, and other intellectual property laws.

9.2 Trademarks

"Offline Khata" and related logos are trademarks of BinaryScript Private Limited. You may not use our trademarks without our prior written permission.

9.3 Feedback

If you provide feedback, suggestions, or ideas about the App, you grant us the right to use such feedback without any obligation to you.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or availability
Error-free or uninterrupted operation
Security or virus-free operation

WE DO NOT WARRANT THAT:

The App will meet your requirements
The App will be uninterrupted, timely, secure, or error-free
Any defects will be corrected
The App is free from viruses or harmful components

USE OF THE APP IS AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

11.1 No Liability for Damages

WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits or revenue
Loss of business data
Business interruption
Loss of business opportunity
Cost of substitute services

11.2 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ₹5,000 (FIVE THOUSAND RUPEES), WHICHEVER IS LESS.

11.3 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

12. Indemnification

You agree to indemnify, defend, and hold harmless BinaryScript Private Limited, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the App
Your violation of these Terms
Your violation of any laws or regulations
Your violation of third-party rights
Any data you input into the App
Your business operations using the App

13. Third-party Services

The App integrates with third-party services:

Firebase (Google) - for analytics, crash reporting, remote configuration and sign-in
Google Play and the Apple App Store - for payments and app distribution
PhonePe - for UPI AutoPay payments in India
WhatsApp, SMS and other apps you choose - for sending reminders and statements

These third-party services are governed by their own terms and privacy policies. We are not responsible for third-party services or their practices.

14. Modifications to the App

We reserve the right to:

Modify, update, or discontinue the App at any time
Add or remove features
Change subscription pricing (with notice to existing subscribers)
Perform maintenance that may temporarily interrupt service

We will provide reasonable notice for significant changes when possible.

15. Termination

15.1 Termination by You

You may stop using the App at any time by:

Uninstalling the App from your device
Canceling your subscription (if applicable)

15.2 Termination by Us

We may terminate or suspend your access to the App immediately, without notice, if:

You violate these Terms
You engage in fraudulent or illegal activity
We are required to do so by law
We discontinue the App

15.3 Effect of Termination

Upon termination:

Your license to use the App terminates
You must uninstall the App from all devices
Active subscriptions may be forfeited without refund (if terminated for violations)
Provisions that should survive termination will remain in effect

16. Governing Law and Dispute Resolution

16.1 Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

16.2 Jurisdiction

Any disputes arising from these Terms or the App shall be subject to the exclusive jurisdiction of the courts in [Your City/State], India.

16.3 Dispute Resolution Process

Before filing any legal action, you agree to:

Provide a detailed description of the dispute
Allow 30 days for us to attempt to resolve the issue

16.4 Arbitration (Optional)

If informal resolution fails, disputes may be resolved through arbitration under the Arbitration and Conciliation Act, 1996, in India.

17. Miscellaneous

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and BinaryScript Private Limited regarding the App.

17.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full effect.

17.3 No Waiver

Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our written consent. We may assign these Terms without restriction.

17.5 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

17.6 Export Control

You agree to comply with all applicable export and import control laws and regulations in your use of the App.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by:

Updating the "Last Updated" date at the top
Providing notice within the App
Sending notifications through the App (if applicable)

Your continued use of the App after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the App.

19. App Updates

19.1 Updates and Upgrades

We may release updates, patches, or upgrades to the App. These may:

Add new features
Fix bugs and security issues
Improve performance
Be required for continued use

19.2 Automatic Updates

If you have enabled automatic updates on your device, the App may update automatically. You are responsible for ensuring you have sufficient data and storage for updates.

20. Acceptable Use Policy

You agree NOT to use the App to:

Record or collect debts in violation of applicable law
Facilitate any illegal business activities
Infringe on intellectual property rights of others
Harass, threaten, or harm others
Transmit spam, viruses, or malicious code
Attempt to gain unauthorized access to the App or other systems
Use the App in any way that could damage, disable, or impair the App
Use automated systems (bots, scripts) to access the App

22. Acknowledgment

BY DOWNLOADING, INSTALLING, OR USING THE OFFLINE KHATA APPLICATION, YOU ACKNOWLEDGE THAT:

You have read and understood these Terms of Service
You agree to be bound by these Terms
You have read and agree to our Privacy Policy
You are at least 18 years of age
You will use the App in compliance with all applicable laws

If you do not agree to these Terms, you must immediately uninstall the App and cease all use.

These Terms of Service are effective as of the date stated above and apply to all users of the Offline Khata application.
