Terms of Service - OpenMinion

Effective Date: April 1, 2026

These Terms of Service ("Terms") govern your use of the OpenMinion mobile application ("App") operated by Binaryscript Private Limited ("Company", "we", "us", or "our"). By downloading, installing, or using the App, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the App.

1. Description of Service

OpenMinion is a personal AI agent application that runs on your Android device. The App enables you to automate device tasks such as sending messages, managing calendar events, browsing the web, interacting with on-screen content, and scheduling recurring actions using artificial intelligence.

The App requires you to provide your own API key from a supported AI provider (Anthropic or OpenAI) to function. The App does not include or provide AI model access.

2. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you must have the consent of a parent or legal guardian. By using the App, you represent that you meet these requirements.

3. User Responsibilities

3.1 API Keys and Third-Party Accounts

You are responsible for obtaining and maintaining valid API keys from your chosen AI provider. You are solely responsible for all costs, charges, and usage associated with your API keys. We do not provide, manage, or subsidize AI provider access.

3.2 Lawful Use

You agree to use the App only for lawful purposes and in compliance with all applicable local, national, and international laws and regulations. You shall not use the App to:

• Send unsolicited, bulk, or spam messages via SMS, WhatsApp, email, or any other channel.
• Harass, threaten, defame, or abuse any person.
• Violate the privacy or rights of others.
• Access systems, accounts, or data without authorization.
• Distribute malware, harmful code, or engage in any activity that disrupts networks or devices.
• Circumvent security measures or exploit vulnerabilities in any system.
• Violate the terms of service of any third-party platform (including Anthropic, OpenAI, Telegram, WhatsApp, or Google).

3.3 Personal Use

The App is intended for personal, non-commercial use. You may not use the App for bulk automated operations, commercial messaging campaigns, data harvesting, or any activity that constitutes commercial exploitation without prior written consent from us.

3.4 Device Permissions

You are responsible for managing the permissions granted to the App on your device. The App will only access device features (contacts, calendar, SMS, screen content, files) for which you have explicitly granted permission. You acknowledge that granting permissions enables the AI agent to perform actions on your behalf.

3.5 Review of AI Actions

You acknowledge that AI-generated outputs and actions may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing the actions performed by the App on your behalf. The App provides a detailed log of all actions taken for your review.

4. Intellectual Property

The App, including its design, code, features, and documentation, is the intellectual property of Binaryscript Private Limited. These Terms do not grant you any ownership rights in the App.

Content generated by AI through the App belongs to you, subject to the terms of your AI provider agreement.

5. Fees and Payment

The App is currently available free of charge. We reserve the right to introduce paid features, subscriptions, or premium tiers in the future. Any paid features will be clearly communicated before purchase, and existing free functionality will not be retroactively restricted without notice.

You are solely responsible for any charges incurred through your use of third-party AI provider APIs. We have no control over and accept no responsibility for third-party pricing or billing.

6. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The App will be uninterrupted, error-free, or free of harmful components.
• AI-generated outputs will be accurate, complete, reliable, or suitable for any purpose.
• Actions performed by the AI agent will produce the intended results.
• The App will be compatible with all devices or operating system versions.

You use the App at your own risk. The AI agent may perform actions on your device (such as sending messages, modifying contacts, or creating calendar events) based on its interpretation of your instructions. We are not responsible for unintended actions or consequences.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BINARYSCRIPT PRIVATE LIMITED AND ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, revenue, profits, or business opportunities.
• Damages arising from messages sent, contacts modified, events created, or any other actions performed by the AI agent.
• Damages arising from unauthorized access to your API keys or device.
• Damages arising from reliance on AI-generated content or actions.
• Costs incurred through third-party AI provider usage.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED INDIAN RUPEES (INR 100), WHICHEVER IS GREATER.

8. Indemnification

You agree to indemnify, defend, and hold harmless Binaryscript Private Limited and its directors, officers, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:

• Your use or misuse of the App.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any third-party rights.
• Actions performed by the AI agent on your behalf.
• Your API key usage and associated third-party charges.

9. Third-Party Services

The App integrates with third-party services that are governed by their own terms:

• Google Firebase: https://firebase.google.com/terms

We are not responsible for the availability, accuracy, or conduct of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms.

10. Termination

You may stop using the App and uninstall it at any time. Uninstalling the App removes all locally stored data.

We reserve the right to modify, suspend, or discontinue the App at any time without prior notice or liability. We may also restrict access to certain features at our discretion.

11. Modifications to Terms

We may update these Terms from time to time. Changes will be posted within the App or on our website at https://binaryscript.com. The "Effective Date" at the top indicates the most recent revision. Continued use of the App after changes constitutes acceptance of the updated Terms.

If we make material changes, we will make reasonable efforts to notify you through the App or other means.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts in India.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Binaryscript Private Limited regarding your use of the App.
